  2. CLARISSA C. CONTRACTOR, referred to as CONTRACTOR and QWER,
  3. referred to as STATION, agree: 
  4.  
  5. CLARISSA C. CONTRACTOR is employed by QWER as SEE EXHIBIT 1.
  6. CONTRACTOR and STATION acknowledge that as a result of the
  7. employer/employee relationship existing  that CONTRACTOR will from
  8. time to time receive, or create confidential information related
  9. to trade secrets, future  promotional plans, and that such
  10. information might be useful to  competitors. 
  11.

  13. Upon termination of employment by STATION, CONTRACTOR shall not
  14. accept employment in any capacity, act as proprietor, shareholder
  15. or act as an independent contractor for any broadcasting station
  16. located within a radius of 90 miles from the center of the city of
  17. license of the STATION, for a period of 120 days.

  20. The parties agree that the damages which may be suffered by 
  21. STATION upon violation of this agreement are irreparable and 
  22. intangible in nature. Therefore, the parties agree that STATION 
  23. shall be entitled to injunctive relief to enforce this agreement.

  27. The parties agree that all disputes related to this agreement 
  28. shall be arbitrated under the rules of the American Arbitration 
  29. Association, before a single arbiter. The decision of the arbiter 
  30. shall be final, and may be entered by any Court of competent 
  31. jurisdiction as a final judgment.

  35. The prevailing party in any dispute related to his agreement shall
  36.  be entitled to its reasonable counsel fees.

  40. This is the entire agreement between the parties, and this 
  41. agreement may only be modified in writing executed by both 
  42. parties.
